1. Acceptance of Terms

By accessing or using the AllinB2C.ai platform (the “Platform”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to all of these Terms, you may not access or use the Platform. These Terms apply to all visitors, users, buyers, suppliers, and others who access or use the Platform.

2. Description of Services

AllinB2C.ai operates a global B2B trade platform that connects buyers and suppliers for the purpose of sourcing, negotiating, and executing trade transactions. Our services include:

• AI-powered supplier discovery and matching
• Request for Quotation (RFQ) management
• Supplier verification and credential checking
• Trade communication and negotiation tools
• Logistics and shipping coordination
• Escrow payment processing
• Quality control and inspection coordination
• Dispute resolution and buyer protection

3. User Accounts

Registration

To access certain features of the Platform, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

Account Responsibility

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

4. Supplier Obligations

Suppliers using the Platform agree to:

• Provide accurate and truthful information about their business, products, and capabilities
• Respond to RFQs in a timely and professional manner
• Honor all accepted orders and quoted prices
• Deliver products that meet the specifications and quality standards agreed upon
• Maintain valid business licenses and certifications
• Cooperate with the verification process and provide necessary documentation

5. Buyer Obligations

Buyers using the Platform agree to:

• Provide accurate information about their business and purchasing requirements
• Act in good faith when submitting RFQs and negotiating with suppliers
• Honor payment obligations for confirmed orders
• Not misuse the platform for fraudulent or speculative purposes
• Provide timely feedback and accept deliveries in accordance with agreed terms

6. Prohibited Activities

Users agree not to engage in any of the following prohibited activities:

• Listing counterfeit, illegal, or restricted products
• Misrepresenting product specifications, origin, or quality
• Engaging in price manipulation or collusion
• Attempting to circumvent platform fees or transaction processes
• Harassing, threatening, or defrauding other users
• Using the platform for any unlawful purpose or in violation of trade sanctions

7. Fees and Payments

AllinB2C.ai charges fees for certain services on the Platform. All applicable fees will be disclosed before you use the relevant service. Fees are non-refundable except as expressly stated in our Refund Policy. We reserve the right to modify our fee structure with reasonable notice to users.

8. Intellectual Property

The Platform and its original content, features, and functionality are owned by AllinB2C.ai and are protected by international copyright, trademark, and other intellectual property laws. Users retain ownership of the content they post on the Platform but grant AllinB2C.ai a license to use, display, and distribute such content for the purpose of operating and promoting the Platform.

9. Limitation of Liability

To the maximum extent permitted by law, AllinB2C.ai shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of the Platform. The Platform is provided on an “as is” and “as available” basis without warranties of any kind, either express or implied.

10. Dispute Resolution

Any disputes arising from these Terms or your use of the Platform shall be resolved through the following process:

1. Negotiation: Parties agree to first attempt to resolve disputes through informal negotiation.
2. Mediation: If negotiation fails, disputes shall be referred to mediation administered by a mutually agreed mediator.
3. Arbitration: If mediation fails, disputes shall be finally settled by binding arbitration in accordance with the rules of the International Chamber of Commerce (ICC).

11. Termination

We may terminate or suspend your account and access to the Platform at any time, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, the Platform, or third parties. Upon termination, your right to use the Platform will immediately cease.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

13. Changes to Terms

We reserve the right to modify or replace these Terms at any time. Material changes will be notified to users via email or through the Platform. By continuing to access or use the Platform after revisions become effective, you agree to be bound by the revised Terms.
